Terms of Service

These terms govern the use of the Signaige digital signage service, the SignAIge emergency alerts program, Signaige player software and this website, signaige.ai (together, the "Services"), provided by UpMeet.co LLC ("we", "us"). By using the Services you agree to these terms. If you use the Services for an organization, you agree on its behalf and confirm you have authority to do so. A separate written agreement with an organization, where one exists, takes precedence over these terms for that organization. EVERYSCREEN Studio is covered by the EVERYSCREEN Terms of Service.

Accounts

Keep your sign-in details confidential and tell us promptly about any unauthorized use. You are responsible for activity under your account. Organizations are responsible for the users they invite and the permissions they give them, including who may send emergency alerts.

Your content

You keep ownership of the content you create, upload or connect. You give us permission to host, store, process, display and transmit it only as needed to provide the Services to you, including showing it on your screens. You are responsible for having the rights to your content and for its accuracy.

AI-generated content

Some features generate text, images, video, audio or designs with artificial intelligence. Generated output can be inaccurate or resemble existing material. Review it before you use or display it; you are responsible for how you use it.

Acceptable use

Do not use the Services to:

  • break the law or infringe anyone's rights;
  • send spam, or send text messages or emails to people who have not consented to receive them;
  • send anything other than emergency and safety alerts through the emergency alerts program, or send false alerts;
  • display or distribute unlawful, harassing, hateful or sexually explicit content;
  • interfere with, probe or overload the Services, or try to access other organizations' data.

Emergency alerts

Organizations that send alerts are responsible for their content and timing and for collecting their recipients' consent through the Signaige sign-up process. Automatic weather alerts come from third-party sources such as the US National Weather Service and are shown as received. Message and alert delivery depends on networks, carriers, devices and sources we do not control and is not guaranteed. The Services do not replace 911, official emergency services or public warning systems. Text messaging is also governed by the SMS Terms.

Players and devices

Player software, and devices supplied for use with Signaige, are for use with the Services. Software updates may be delivered to managed players automatically. You are responsible for the displays and devices you pair as browser players and for their network access.

Fees

Paid features are billed as described in your order or agreement. Unless stated otherwise, fees are non-refundable except where the law requires.

Privacy

Our Privacy Policy describes how we handle personal information.

Suspension and termination

You may stop using the Services at any time. We may suspend or end access if these terms are broken or to protect the Services or other users. On request after an account ends, we will delete its content as described in the Privacy Policy.

Disclaimers

The Services are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Services will be uninterrupted or error-free.

Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, and our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim.

Changes

We may update these terms; the date at the top shows when they last changed. Continuing to use the Services after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules.
